2023 Bylaws Revision Discussion
The Board has approved changes to the Club’s bylaws, which are now ready for member review and (eventual) vote. The bylaw project was part of a more extensive effort to review and bring the Club’s corporate formalities up to date. The Board was assisted by the UNC School of Law Community Development Law Clinic which works with North Carolina-based non-profit corporations. The Clinic recommended a reformation of the bylaws to a more standard format widely used in North Carolina. While it’s hard to track exactly when the Club first adopted its bylaws, it would have pre-dated the 1994 adoption of the North Carolina Nonprofit Corporation Act. After extensive review of the current bylaws and the proposed bylaws, the Board believes that the proposed changes reflect common norms for a non-profit corporation without altering the substance of the Club’s current bylaws or the operation of the Club. The Board will be available to answer questions during the upcoming membership meeting on October 18, 2023.
The voting period will begin Nov. 3, 2023 and run for 15 days.
